LETT represents a large number of Danish and foreign businesses whose shares are listed on a stock exchange.
LETT provides assistance regarding capital market matters to shareholders, boards of directors and executive boards. We provide advice in isolated situations, e.g. if a company is a take-over target, and on the general rules continually imposed on listed companies, including as regards their duty of disclosure, the acquisition of own shares by a company and its management, the bans on insider trading and disclosure of inside information, etc.
Moreover, LETT advises purchasers of listed companies, including in connection with making offers and negotiating the terms of a takeover with principal shareholders and shareholder groups.
LETT’s advisory services relating to capital markets include in particular stock market flotation and the issue of securities, including preparing prospectuses and related agreements with issuing banks as well as other advisors and players. We participate in the verification process and plan and complete the legal due diligence investigations.
Furthermore, LETT advises on the submission of voluntary and compulsory offers, protection from attempted hostile takeovers, preparation of internal guidelines on i.a. disclosure of inside information and insider trading in the company’s own shares as well as other securities. We assist in preparing stock market releases, quarterly as well as half-year reports, preliminary announcements of financial statements and in the compulsory redemption of shares and delisting of companies.
In addition, we advise on securities trading law, including the performance of investment management and investment advisory activities.
LETT provides advice to businesses as regards funding via the Danish and international capital markets and as regards structured financial transactions, including international note programmes (EMTN programmes).
